Boardroom resources platform AGENDA outlines how directors are facing increased scrutiny from investors regarding their past track records on corporate boards, based on recent findings from proxy advisory firm ISS.
Bill Ultan, Morrow Sodali’s Managing Director of Corporate Governance, and David Shammai, Director of Cross Border Corporate Governance were quoted, commenting on how investors consider past oversight failures when evaluating a director’s performance and that investors tend to keep away from hard-line rules when making an analysis of a particular situation.
