Beyond Board Games: Forecasting 2023 Disclosure and Practice Trends

In 2022, Global Governance Advisors partnered with The Globe and Mail to examine the boards of directors of the S&P/TSX Composite Index to assess the quality of their governance practices and disclosure as defined by the Board Games framework. This year will be The Globe and Mail Report on Business’ 21st year in a row rating Canada’s most influential corporate boards using this rigorous set of governance criteria designed to promote good governance beyond the rules imposed by the regulators.
This year the Board Games framework was significantly revised to reflect how governance has evolved since 2001 when Board Games was first published. In 2023, it will realize another significant revision that considers the question, “What’s important to all stakeholders today?” We go beyond one stakeholder’s concern – the shareholder – to how Board decisions affect all stakeholders – the community, employees, customers, and environment.
Corporate Sustainability recognizes that corporate growth and profitability are important but require companies to pursue important societal goals as they relate to the environmental protection and care, social justice and equity and governance (ESG Agenda).
The pandemic has exacerbated corporate governance challenges. The ESG agenda is clearly top of mind as corporate boards are challenged to implement and communicate policies considering diversity, equity, inclusion and anti-racism and climate change – topics that can evoke actions with conviction since they can be emotional. Stakeholders have become more restless to the slow-moving corporate world where board and executive gender equality is an ongoing concern nearly a decade from the adoption of the securities commission’s disclosure requirements regarding the representation of women on boards and in senior management.

Tony has over a decade of experience studying corporate governance in North America across different types of organizations with a unique understanding of the complex relationship between shareholders/stakeholders and the board of directors. His work focuses on corporate governance practices that can effectively navigate the complex relationship between the corporation’s board and shareholders. Tony is an accomplished corporate governance analyst and researcher that specializes in the strategic review, valuation and innovative design of compensation and corporate governance programs that effectively align strategy with shareholders’ interests. Tony has both led and contributed to a vast array of publications at the University of Toronto that focused on corporate governance challenges in the for-profit and not-for-profit sectors.

Dexter is the Chief Executive Officer of Morrow Sodali, Canada. Prior to Morrow Sodali's Acquisition of Gryphon Advisors, Inc., Dexter was President and CEO of Gryphon where he was responsible for the North American business and led a team of experienced governance and financial professionals. With over 25 years of experience in capital markets, Dexter has a strong knowledge of corporate law and a thorough understanding of financial markets. From his work at a major Canadian law firm as a Securities Associate to his tenure at the Investment Dealers Association, Ontario Securities Commission and the Toronto Stock Exchange, Dexter has a strong public equities market background as well as significant regulatory experience.
Elaine Roper - Partner and Head, Board & CHRO Practices - Odgers Berndtson
Elaine Roper is a Partner and Head of the Board & CHRO Practices based in Toronto. Her expertise lies in corporate and board governance, human capital strategy planning and implementation, and executive talent management and search. Elaine brings over 35 years of international experience as a CHRO, consultant and board director in the technology, financial services and not-for-profit sectors, in addition to public/private partnership organizations throughout North America, Europe and Asia.
Michael N. Melanson - Partner - Bennett Jones LLP
Michael practises extensively in the capital markets area, with an emphasis on public and private offerings of securities, takeover bids and mergers and acquisitions. He acts for clients in a wide range of industries, particularly in the mining industry.
