Dynamics at the recent AGMs are changing, and getting less “comfortable” for companies.
“The directors who chair any of the Board committees are increasingly being held accountable, and this trend has been consolidating over the last three years”, explains Eduardo Sancho García, Corporate Governance Manager at Morrow Sodali.
Executive compensation remains the 'piece de resistance' of institutional investors and their advisors to bring to the Boards' attention. They are continuing to call for more transparency and better compensation practices, as well as climate action plans.
