We are pleased to highlight Prashilta Naidu, Director, Shareholder Advisory, for her contribution to the International Corporate Governance Network (ICGN) Future Leaders Committee. The Committee, formed in January 2025, brings early career professionals’ perspectives to ICGN’s policy work, with this year’s Committee focusing on the themes of capital markets competitiveness, executive remuneration and board effectiveness.
In her article, “What can improve investor confidence in the Board’s ability to identify and address potential effectiveness issues before they escalate?”, Prashilta explores how governance failures often stem from weak board oversight and a lack of true independence. She highlights that independence—reflected in mindset, behaviour and board dynamics—is critical to strengthening investor trust.
Prashilta also outlines practical questions investors can use in board engagements to better understand board dynamics on and board approaches to the topics of independence and effectiveness.
