Geoffrey L. Weinberg serves as a Managing Director in Sodali & Co’s M&A and Activism Advisory Group, advising public and private companies on shareholder engagement, activism defense, and complex M&A transactions. Based in New York, Geoff combines deep legal expertise with strategic insight to support clients navigating high-pressure, high-stakes corporate events.
Before joining Sodali & Co, Geoff was a Senior Managing Director at a leading proxy solicitation and advisory firm. Earlier in his career, he practiced law at Weil, Gotshal & Manges LLP in the firm’s Mergers & Acquisitions group, advising on a wide range of public and private company transactions.
Geoff has led or contributed to over 100 successful shareholder votes, proxy contests, and strategic campaigns. His experience includes representing:
- Kroger in its ESG-focused proxy contest with Carl Icahn
- Procter & Gamble in its proxy fight with Trian Partners
- Warrior Met Coal in their proxy fight with the UMWA and AFL-CIO
- Cannae Holdings and Senator Investment Group in their engagement with CoreLogic
- Advising Merck KGaA in its “Vote No” campaign and unsolicited offer for Versum Materials
- Arkhouse in their engagement with Macy’s
- Representing Xerox in its attempted acquisition of HP
- SomaLogic in their contested acquisition by Standard BioTools
Geoff is known for crafting tailored strategies in contested situations, blending legal acumen with practical stakeholder insight—particularly in matters involving retail shareholders, governance reform, and evolving ESG considerations.
He holds a J.D. from New York University School of Law, where he was a Staff Editor of the NYU Journal of International Law and Politics, and a B.A. from Binghamton University.
